1. General provisions and acceptance

1.1. these Terms of Use (the “Terms”) govern the use of euroformat.com and its subdomains (collectively, the “Website”), operated by LIMITED LIABILITY COMPANY “EUROFORMAT PLANT”, Ukrainian company registration code 31724919 (the “Company”). The contact address stated on the Website is: 21 Kurenivska Street, Building G, Kyiv, 04073, Ukraine.

1.2. scope. these Terms apply to euroformat.com and all of its subdomains. The subdomain(s) are primarily intended for informational and SEO content. Regardless of the specific technical distribution of content between the main Website and its subdomain(s), the same terms of use established by these Terms apply to all such resources.

1.3. single-operator qualification. these Terms apply as a single document provided that the same legal entity operates both resources, namely the main Website and its subdomain(s).

1.4. by starting to use the Website, the user confirms that they have read and accepted these Terms. If the user does not agree with any provision of these Terms, they must discontinue use of the Website.

1.5. the Company may amend these Terms in accordance with section 8.

2. Subject matter of the Terms

2.1. these Terms govern the relationship between the Company and the user arising from the user’s access to and use of the informational materials and functionality made available on the Website.

2.2. the Website is primarily informational and provides users with access to materials published by the Company. The Website does not provide for user registration, personal accounts or online payments. However, the Website includes a consultation form (“Get a Consultation”) that allows users to submit an enquiry to the Company.

2.3. conditions for using the consultation form. by completing and submitting the form, the user:

• provides accurate contact details, including name, telephone number and email address, and undertakes not to provide knowingly false information or personal data relating to third parties without their consent;
• agrees to the processing of the personal data provided in accordance with the Privacy Policy referred to in section 7.

2.4. submission of an enquiry through the form is for informational and enquiry purposes only and does not in itself create any obligation on either party to enter into any agreement and does not constitute an offer or acceptance. Any terms of potential cooperation are agreed separately between the parties.

3. Intellectual property

3.1. all materials available on the Website, including text, images, graphic elements, logos, page structure and design (collectively, the “Content”), are protected by intellectual property rights and are owned by the Company or lawfully used by it.

3.2. use, copying, reproduction, distribution, adaptation or other processing of the Content without the Company’s prior written permission is prohibited, except where expressly permitted by applicable law or by functionality made available on the Website, for example social media sharing buttons.

3.3. rights in names, designations, logos and other identifying marks displayed on the Website and used in connection with the Website are owned by the Company or lawfully used by it and are protected in accordance with applicable law.

4. Website use rules

4.1. when using the Website, users must not:

• take any action intended to interfere with the normal operation of the Website or create a threat of such interference;
• carry out automated collection of data from the Website for purposes that cause harm to the Company or users, create an excessive load on the Website infrastructure, or circumvent technical restrictions or robots.txt rules;
• attempt to gain unauthorised access to the Website, its infrastructure or protected areas;
• distribute malicious software through the Website or otherwise use the Website for unlawful purposes;
• take any action that infringes the rights of the Company or any third party.

4.2. indexing and good-faith access. good-faith indexing of the Website by search engines and artificial intelligence systems (AI crawlers) for the purposes of search, linking and providing responses to users will not be regarded as a breach of section 4.1, provided that such indexing complies with robots.txt rules and does not involve abuse, excessive load or other harmful activity.

5. Disclaimer

5.1. information on the Website is provided on an “as is” basis, without warranties as to completeness, accuracy, currency or fitness for any particular purpose, to the extent permitted by applicable law.

5.2. the Company takes reasonable measures to maintain the accuracy of materials published on the Website but does not guarantee that the Website will be free from errors or inaccuracies or that individual materials will always be available.

5.3. the Website may contain links to third-party resources. The Company is not responsible for the content, accuracy or availability of third-party websites or for any consequences arising from a user following such links.

6. Limitation of liability

6.1. to the extent permitted by applicable law, the Company will not be liable for any direct or indirect loss or damage incurred by a user in connection with the use of, or inability to use, the Website.

6.2. consumer rights qualification. the limitations and disclaimers set out in sections 5 and 6 apply only to the extent permitted by law and do not limit or exclude the rights of consumers who are natural persons (B2C) under the Law of Ukraine “On Consumer Rights Protection” or other applicable consumer protection legislation.

6.3. nothing in these Terms excludes or limits the Company’s liability where such exclusion or limitation is expressly prohibited by applicable law.

7. Personal data

7.1. personal data collected in connection with the use of the Website, including consultation form data, cookies and web analytics data, is processed in accordance with a separate document – the single Privacy Policy published on the Website and applicable to euroformat.com and its subdomains.

7.2. the legal bases for processing, categories of personal data, data subject rights and procedures for exercising those rights are set out in the Privacy Policy. Where processing requires consent, including for analytics and marketing cookies, such consent is obtained separately through the cookie consent management mechanism and not merely by virtue of using the Website.

8. Amendments

8.1. the Company may amend these Terms. The current version will be published on the Website.

8.2. the Company will provide notice of material changes by a method available on the Website. Continued use of the Website after the amended Terms take effect constitutes the user’s acceptance of the updated version.

9. Final provisions

9.1. these Terms are governed by and construed in accordance with the substantive laws of Ukraine.

9.2. any disputes arising in connection with these Terms will first be addressed through negotiations. If no agreement can be reached, the dispute will be resolved by the courts of Ukraine in accordance with Ukrainian law.

9.3. consumer protection qualification. the provisions concerning governing law and dispute resolution apply subject to mandatory consumer protection rules. A consumer who is a natural person (B2C) may not be deprived of protection granted by mandatory provisions of law, including the right to bring proceedings before a court at their place of residence where such right is provided by law.

9.4. if any provision of these Terms is found to be invalid or unenforceable, this will not affect the validity or enforceability of the remaining provisions.
